1. Introduction and Acceptance of Terms
VyavasayMitra.com, operated by C&Y EXPERT SOLUTIONS PRIVATE LIMITED, is a third-party aggregator platform designed to streamline business compliance and growth by connecting users with qualified Chartered Accountants (CAs), Company Secretaries, and other professionals. Our comprehensive service offerings include private limited company registration, GST return filing, income tax audits, trademark registration, payroll management, and more, catering to startups, SMEs, and large enterprises across India. These Terms and Conditions (“Agreement”) govern your access to and use of our website, mobile applications, and related services, including our proprietary platform for secure document management and real-time tracking.
By accessing or using VyavasayMitra.com, you confirm that:
- You are at least 18 years old and legally competent to enter into binding contracts under the Indian Contract Act, 1872.
- You have read, understood, and agree to be bound by these Terms and Conditions, alongside our Privacy Policy, which details how we handle your data.
- You will comply with all applicable Indian laws, including the Companies Act, 2013, the Information Technology Act, 2000, and the Consumer Protection (E-Commerce) Rules, 2020.
- You acknowledge that VyavasayMitra is a facilitator, not a professional services firm, and we do not provide direct legal, financial, or accounting advice.
If you disagree with any part of this Agreement, please refrain from using our platform. Your use of our platform signifies your commitment to a lawful and respectful engagement with our services.
2. Our Role as a Facilitator
VyavasayMitra operates as an intermediary platform, connecting users with independent professionals (“Advisors”) such as Chartered Accountants, Company Secretaries, and other experts. Our services facilitate communication for a wide range of business needs, including but not limited to:
- Business Setup: Private Limited Company, LLP, OPC, Partnership Firm, and Section 8 Company registration.
- Tax Compliance: GST registration, GST return filing, income tax return (ITR) filing, tax audits, and TDS return filing.
- Intellectual Property: Trademark search, registration, objection handling, copyright, and patent services.
- Financial Management: Accounting, bookkeeping, payroll management, financial statement preparation, and virtual CFO services.
- Compliance and Certifications: Startup India registration, FSSAI license, ISO certification, and NGO compliance.
Our role is to:
- Match you with Advisors based on your specific requirements, such as location, expertise, or service type.
- Provide secure tools for document uploads, progress tracking, and communication.
- Offer informational resources, such as FAQs, guides, and blogs, to educate users about compliance processes.
VyavasayMitra does not:
- Provide professional advice directly or act as an agent of Advisors.
- Guarantee the formation of a professional-client relationship or the completion of services.
- Endorse or warrant the quality, accuracy, or outcome of services provided by Advisors.
For example, if you engage a CA for GST return filing, VyavasayMitra facilitates the connection, but the CA’s service agreement and performance are independent of us. You are responsible for reviewing the Advisor’s qualifications, terms, and suitability before proceeding. This structure ensures transparency and compliance avoiding misleading claims about service outcomes.

- Provide accurate, complete, and up-to-date information during registration, service requests, or document submissions.

- Ensure you have the authority to act on behalf of any business or entity you represent.
As a user, you agree to:

- Maintain the confidentiality of your account credentials and prevent unauthorized access.
- Notify us immediately at info@vyavasaymitra.com if you suspect any security breaches or unauthorized account activity.
You are solely responsible for:
- Evaluating the integrity, qualifications, and performance of Advisors. For instance, before engaging a CA for a tax audit, verify their ICAI registration and experience.
- Ensuring the accuracy of information provided to Advisors, as errors may impact service outcomes.
- Resolving disputes directly with Advisors, as VyavasayMitra does not mediate agreements or service delivery.
4. Platform Usage Guidelines
VyavasayMitra.com is designed to provide a seamless, secure, and user-friendly experience. To maintain a professional and lawful environment, you agree to adhere to the following guidelines:
4.1 Account Registration and Management
Certain services, such as booking an income tax audit or applying for a digital signature certificate, require you to create an account. During registration:
- Provide accurate details, including your name, email, phone number, and business information.
- Update your account information promptly if it changes, such as a new business address or contact number.
- Do not share your account credentials with others or allow multiple users to access a single account.
You are responsible for all activities conducted through your account. For example, if you book a GST registration service, ensure only authorized individuals access your account to track progress. If you suspect unauthorized access, notify us immediately at info@vyavasaymitra.com. Unauthorized account sharing may lead to suspension or termination.
4.2 Document Creation and Usage
Our platform may generate documents for services like company incorporation, trademark applications, or partnership deeds based on user-provided information. These documents are subject to:
- A limited, non-exclusive, non-transferable license for your personal or authorized business use. For example, a partnership deed generated for your firm can be used for registration but not resold.
- Prohibition on resale, redistribution, modification, or reverse-engineering without our express written consent.
- Compliance with Indian intellectual property laws, such as the Copyright Act, 1957, and Trademarks Act, 1999.
For instance, if you use our platform to generate a memorandum of association for a private limited company, you may submit it to the Ministry of Corporate Affairs (MCA) but cannot distribute it commercially without permission. Violations may result in legal action for copyright infringement.
4.3 Prohibited Activities
To ensure a safe and respectful platform, you agree not to engage in the following activities:
- Using offensive, discriminatory, or inappropriate language in communications, reviews, or submissions.
- Posting content that promotes illegal activities, violence, or harm to individuals or groups, such as instructions for tax evasion.
- Infringing on intellectual property rights, such as copying our service descriptions or templates without permission.
- Engaging in spamming, phishing, or sending unsolicited communications, such as mass emails promoting unrelated services.
- Attempting to hack, reverse-engineer, or disrupt our platform’s functionality.
- Using automated tools (e.g., bots, spiders) to scrape, copy, or monitor content without prior written permission.
- Posting defamatory, obscene, or harassing content that violates Indian laws, such as the Information Technology Act, 2000.
- Interfering with our services by posting advertisements or links to competing platforms.
Violations may result in:
- Immediate removal of offending content.
- Temporary or permanent suspension of your account.
- Reporting to law enforcement or regulatory authorities, including sharing relevant user data (e.g., IP addresses, usage history).
- Legal action for damages caused by your actions.
For example, posting a review with abusive language about a CA’s service may lead to its removal and a warning to your account. Repeated violations may result in account termination.

- Trademarks Act, 1999: Protects our brand name, logo, and tagline (“One Stop Business Solution”).
- Patents Act, 1970: Protects any proprietary technology developed for our platform, such as the LEDGERS system.

- Modify, reverse-engineer, or create derivative works from our materials.
- Use our content for commercial exploitation beyond the scope of our services, such as reselling templates.

6. Confidentiality and Data Security
VyavasayMitra is committed to protecting your data through industry-standard encryption, secure servers, and protocols, particularly on our platform for document uploads and tracking. We comply with the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, to safeguard your information. However, the internet carries inherent risks, and we cannot guarantee absolute security due to external factors, such as cyberattacks or third-party breaches.
To protect your data:
- Avoid sharing sensitive information (e.g., PAN, Aadhaar, bank details) in general communications, such as emails or public sections of our platform.
- Use our secure platform for document uploads, such as financial statements for tax audits or incorporation documents.
- Provide specific information only after engaging an Advisor directly, via secure channels like phone or encrypted email.
- Review our Privacy Policy for detailed information on data collection, storage, usage, and sharing.
For example, when uploading bank statements for an income tax audit, use our encrypted upload feature rather than unsecured email to minimize risks. VyavasayMitra is not liable for:
- Unauthorized access to your information due to external breaches, such as hacking of third-party servers.
- User errors, such as sharing credentials or uploading sensitive data to public sections.
- Actions by Advisors or third parties who misuse information shared directly with them.
We encourage Advisors to refrain from requesting sensitive information through our platform’s general communication channels. If you suspect a data breach or unauthorized access, contact us immediately at info@vyavasaymitra.com.

We do not provide professional advice directly and are not responsible for:
- The accuracy, quality, or outcome of services provided by Advisors. For example, if a CA makes an error in your GST return filing, your recourse is with the CA, not VyavasayMitra.

- Direct, indirect, incidental, special, or consequential damages arising from your use of our platform or services, including loss of profits, data, or business opportunities.
- Losses due to system failures, data breaches, or interruptions beyond our control, such as internet outages, server downtimes, or government portal issues (e.g., MCA or GST portal).

For example:
- If a delay in trademark registration occurs due to government processing times, VyavasayMitra is not liable for any resulting losses.

Our liability is limited to the professional fees paid for our facilitation services, subject to our refund policy outlined below. This limitation ensures we can continue offering affordable and accessible services.
9. Indemnification
You agree to indemnify, defend, and hold harmless VyavasayMitra, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your violation of these Terms and Conditions, such as unauthorized use of our content.
- Misuse of our platform, such as posting defamatory reviews or attempting to hack the our system.
